F\u00fcr viele ist es vor allem die Hoffnung, die \u00fcber die Erfahrung siegt. Doch gegen Mitte Februar ist alles wieder beim Alten. Es zeigt: Durchhalteverm\u00f6gen \u2013 und nicht blo\u00df gute Vors\u00e4tze \u2013 ist der Schl\u00fcssel zum Erfolg.<\/p>\n\n\n\n<p>Dasselbe gilt f\u00fcr Unternehmen.<\/p>\n\n\n\n<p>K\u00fcrzlich sprachen wir mit einem MarshBerry-Kunden, der seinen Bonus nach dem Verkauf deutlich \u00fcbertroffen hatte. Bemerkenswert war, dass er sich entschied, nicht bis zum Ende im Unternehmen zu bleiben. Stattdessen nutzte er die Chance, die der Verkauf bot, um eine neue berufliche Laufbahn einzuschlagen \u2013 solange er noch voller Energie und Tatendrang war (vom Ruhestand war er noch weit entfernt).<\/p>\n\n\n\n<p>Was machte diese Transaktion so erfolgreich? Nichts Revolution\u00e4res. Das Unternehmen hatte \u00fcber das vergangene Jahrzehnt hinweg eines konsequent getan \u2013 und zwar auf h\u00f6chstem Niveau:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Investitionen in Mitarbeitende;<\/li>\n\n\n\n<li>Investitionen in Kundenbeziehungen;<\/li>\n\n\n\n<li>Investitionen in Systeme, Prozesse und vieles mehr.<\/li>\n<\/ul>\n\n\n\n<p>Viele Unternehmer glauben, dass die harte Arbeit endet, sobald eine gemeinsame Absichtserkl\u00e4rung unterzeichnet ist. In Wirklichkeit is dies erst der Anfang. Die Absichtserkl\u00e4rung legt die wesentlichen wirtschaftlichen Eckpunkte fest und gew\u00e4hrt dem K\u00e4ufer Exklusivit\u00e4t f\u00fcr die Durchf\u00fchrung der Due Diligence, die Erstellung der rechtlichen Dokumentation und die Einholung der aufsichtsrechtlichen Genehmigungen. Die Due Diligence selbst, bei der die Unternehmenshistorie durch den K\u00e4ufer gepr\u00fcft wird, um zuk\u00fcnftige \u00dcberraschungen zu vermeiden, ist jedoch umfassend und rechtlich komplex.<\/p>\n\n\n\n<p>In dieser konkreten Transaktion erkl\u00e4rte der K\u00e4ufer (der bereits zahlreiche Unternehmen erworben hat), er habe noch nie einen Due-Diligence-Prozess erlebt, der so reibungslos verlaufen sei. Alles war verf\u00fcgbar, sobald danach gefragt wurde; alles war dokumentiert und ordentlich aufbereitet. Nat\u00fcrlich arbeitete unser Kunde hart daran, die geforderten Informationen bereitzustellen \u2013 doch die Selbstverst\u00e4ndlichkeit, mit der dies gelang, sprach B\u00e4nde \u00fcber die Standards, die seit vielen Jahren galten.<\/p>\n\n\n\n<p>Was also wird das neue Jahr f\u00fcr diesen Kunden bringen? Wie im Fitnessstudio gilt auch hier: Ergebnisse entstehen mit Durchhalteverm\u00f6gen. Gro\u00dfartige Unternehmen entstehen nicht \u00fcber Nacht \u2013 sie sind das Ergebnis jahrelanger Investitionen und konsistenter, fokussierter Arbeit. F\u00fcr unseren Kunden bedeutete dies, das Unternehmen mit Vertrauen in die H\u00e4nde der n\u00e4chsten Generation zu \u00fcbergeben, im Wissen, dass diese den eingeschlagenen Weg fortsetzen w\u00fcrde. Die Performance &nbsp;des Unternehmens nach dem Verkauf ist schlie\u00dflich die ultimative Pr\u00fcfung f\u00fcr Arbeit all die Jahre zuvor.<\/p>\n\n\n\n<p>An der n\u00e4chsten Unternehmensgr\u00fcndung dieses Kundens wird MarshBerry nicht beteiligt sein (es liegt au\u00dferhalb der Finanzdienstleistungsbranche), doch wir sind \u00fcberzeugt, dass auch dieses Vorhaben erfolgreich sein wird. Warum? Weil dieselben hohen Standards, die das erste Unternehmen aufgebaut haben, der Grundstein des Erfolgs f\u00fcr das N\u00e4chste sein werden. Wir sprechen bewusst gerne mit Unternehmern <strong>viele Jahre vor einem geplanten Verkauf<\/strong>, denn genau in dieser Phase wird ein Gro\u00dfteil des Fundaments f\u00fcr eine erfolgreiche Transaktion gelegt.
