Het aantal fusies en overnames binnen het intermediair blijft in heel Europa hoog. Dit blijkt uit de eerste twee kwartaalrapporten van MarshBerry. Grote internationale verzekeringsmakelaars als Howden en Ardonagh nemen het voortouw in acquisities van Europese intermediairsbedrijven. En ook Nederlandse grootmachten als Alpina en Yellow Hive laten van zich horen.<\/p>\n\n\n\n

De wereldwijde M&A-markt is de afgelopen jaren flink geraakt door inflatie, rentestanden en de onzekere geopolitiek. Desondanks bleef het aantal transacties in de verzekeringsdistributiemarkt stijgen. Armand Hoftijzer<\/a>, managing director van MarshBerry, legt uit waarom juist deze markt zo aantrekkelijk is voor investeerders: \u201cHet intermediair laat een consistent hoog rendement \u00e9n klantbehoud zien. Ook in onzekere tijden. Daarbij is de business weinig kapitaalintensief in verhouding tot bijvoorbeeld verzekeraars. Nu de inflatie onder controle lijkt en de Europese rente weer daalt, wordt het rendement op ge\u00efnvesteerd kapitaal alleen maar gunstiger.\u201d<\/p>\n\n\n\n

Meer dan 200 aansprekende deals in eerste halfjaar<\/h2>\n\n\n\n

De kwartaalrapporten van MarshBerry illustreren het grote aantal fusies en overnames in de verzekeringsdistributiemarkt. In het eerste half jaar van 2024 zijn in Europa al 236 transacties bekendgemaakt, waarvan 48 Nederlandse transacties. Een indrukwekkend aantal, maar waarschijnlijk ligt het werkelijke aantal nog hoger. Overnames van kleinere intermediairs leveren in veel gevallen geen persberichten op en zijn daardoor moeilijk in kaart te brengen.<\/p>\n\n\n\n

Twee derde gefinancierd door private equity<\/h2>\n\n\n\n

De aantrekkelijkheid van de markt heeft de afgelopen tien jaar geleid tot vertienvoudiging van financiering door private equity (PE). Hoftijzer geeft aan dat door PE gefinancierde makelaars en PE-kopers de grootste spelers in het overnamegeweld zijn. Zij zijn goed voor 60-70% van de Europese transacties. Nagenoeg alle grote private investeringsfondsen zijn wel ergens in Europa actief in de verzekeringsdistributiemarkt.<\/p>\n\n\n\n

Hoofdrol voor Europese uitdagers en nationale kampioenen<\/h2>\n\n\n\n

Het beeld uit 2023, dat een aantal Europese uitdagers steeds dichter naar de gevestigde mondiale orde toegroeit, wordt in 2024 bevestigd. Zo hebben Howden, Ardonagh en PIB Group dit jaar hun Europese footprint weer aanzienlijk vergroot. Andere partijen zetten hun eerste stappen in het buitenland of kiezen voor groei in eigen land.<\/p>\n\n\n\n

<\/div>\n\n\n\n

Hoftijzer: <\/strong>\u201cMet een normale inflatie en dalende rentestanden is de macro-economische situatie in Europa op dit moment relatief stabiel. Strategische kopers en private equity realiseren zich dat dit h\u00e9t moment is om hun marktpositie te versterken met fusies en overnames. Je ziet dan ook een ware race om het opzetten van Europese verzekeringsdistributieplatforms.\u201d<\/p>\n\n\n\n

Van platformacquisities tot lokale buy-and-build<\/h2>\n\n\n\n

Wat voorbeelden. Investeerders als Corsair Capital en Blackfin Capital Partners hebben typische platformacquisities gedaan in Polen (MJM), Frankrijk (SPD) en in Nederland met de overname van AON Particulier, dat Op Groen Verzekeringen is gaan heten. Zulke acquisities fungeren als basis voor verdere strategische expansie in Europa.<\/p>\n\n\n\n

Platformacquisities leiden ook vaak tot verdere consolidatie in dat land. Zo kocht PIB Group via dochter Campion Insurance dit jaar haar 20e (!) intermediair in Ierland. Een voorbeeld dichter bij huis is Alpina Group. Via de Belgische dochter Hillewaere Groep heeft Alpina dit jaar vijf intermediairs en een makelaar in Belgi\u00eb gekocht. En met de recente overname van Quintes is ook de Amerikaanse verzekeringsmakelaar Brown & Brown aanwezig op het Europese vasteland.<\/p>\n\n\n\n

Bovendien laten door heel Europa nationale kampioenen van zich horen met lokale buy-and-build-strategie\u00ebn. De Duitse bedrijven MRH Tr\u00f6we en Summitas Group, en het Franse Diot-Siaci hebben in eigen land verschillende intermediairbedrijven gekocht. In Belgi\u00eb kocht het eerder dit jaar gefuseerde induver-clover met PE-sponsoring Group Claeys en Bamps-Laevers Verzekeringen. In ons eigen land zijn Yelllow Hive en Licent Groep het meest actief met respectievelijk 9 en 8 transacties alleen al in het eerste half jaar.<\/p>\n\n\n\n

Van gefragmenteerd naar geconsolideerd<\/h2>\n\n\n\n

De consolidatietrend in Europa blijft dus sterk, met een consistente stroom aan grote deals, maar ook veel activiteit die onder de radar blijft.<\/p>\n\n\n\n
