Met het oog op de transacties in Q1 2024 lijkt de conclusie gerechtvaardigd dat het dit jaar niet anders zal zijn. Het consolidatiepotentieel op de Europese verzekeringsdistributiemarkt is groot en het aantal deals op het Europese vasteland is toegenomen, zowel door nationale tussenpersonen als door internationale platforms die nieuwe markten betreden. De Europese verzekeringsbemiddelingsmarkt was tot voor kort gefragmenteerd, maar consolideert nu in een onwaarschijnlijk hoog tempo.&nbsp;&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In alle sectoren ziet Europa na enkele moeilijke jaren een opleving qua F&amp;O-activiteiten. De afnemende inflatie, de verwachte daling van de rentetarieven en de aanhoudend sterke financi\u00eble markten onderstrepen het optimisme dat 2024 voor de verzekeringsdistributiebranche een uitstekend jaar zal worden om deals te sluiten.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In het eerste kwartaal van 2024 daalden de inflatiecijfers in de 20 landen van de eurozone verder, tot een percentage van 2,4% in maart. Dat is het laagste niveau in vier maanden. In april 2024 handhaafde de Europese Centrale Bank (ECB) het rentetarief van 4% voor de vijfde keer op rij. Er bestaan echter sterke aanwijzingen dat de ECB de tarieven in de nabije toekomst gaat verlagen.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Verzekeringsbemiddeling blijft een sterke branche<\/strong>&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Wat betreft fusies en overnames blijft de verzekeringsbemiddeling in Europa tot de meest actieve sectoren behoren en is zeer gewild bij particuliere kapitaalinvesteerders. Verzekeringsbemiddelaars zijn kapitaalarme bedrijven met hoge winstmarges, een sterke klantenbinding en een bewezen staat van dienst voor het genereren van consistente rendementen ondanks marktvolatiliteit. De waardebepalingen van verzekeringsbemiddelaars zullen naar alle waarschijnlijkheid stabiel blijven. Binnen de waardebepaling valt er echter een groeiende tweedeling waar te nemen: enerzijds zijn er de bedrijven met een sterk management, grote marges en goede staat van dienst qua organische groei en anderzijds de bedrijven waar nog duidelijk ruimte voor verbetering bestaat.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">De inflatie van vorig jaar en hogere risicopremies van verzekeraars zorgden voor hogere verzekeringspremies in 2024. Deze hebben een positieve invloed op de financi\u00eble resultaten van verzekeringsmakelaars. Naarmate meer kopers (strategische kopers en private equity) met elkaar concurreren om dezelfde potenti\u00eble acquisitiemogelijkheden, zullen vraag en aanbod de prijzen blijven opdrijven.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>F&amp;O marktupdate<\/strong>&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">MarshBerry heeft tot en met 31 maart 2024 110 aangekondigde fusies en overnames tussen Europese verzekeringsmakelaars geteld. Ondanks dit indrukwekkende aantal is deze schatting waarschijnlijk aan de lage kant, aangezien veel kleine deals vaak niet gepubliceerd worden. Om deze reden is het lastig om ze mee te nemen in het totale aantal. Participatiemaatschappijen ondersteunden ongeveer twee derde van de Europese transacties in Q1 van 2024.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Het Verenigd Koninkrijk blijft het leidende land in Europa qua transactievolume, maar de deals worden steeds kleiner. Vanwege het verminderde aanbod is het onwaarschijnlijk dat de prijzen van de deals in deze geografie hoger zullen uitvallen (mogelijk beginnen ze in feite zelfs te dalen). Ondertussen zet de consolidatie op de meeste continentale Europese markten in een sterk tempo door. Gallagher &amp; Co<\/strong>. zette de eerste stap in Duitsland met de overname van <strong>K\u00f6berich Financial Lines<\/strong>. De overname is onderdeel van de bredere Europese expansiestrategie van Gallagher.&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>10 januari:<strong>Corsair Capital<\/strong> verwierf een meerderheidsbelang in <strong>MJM Holdings<\/strong>, een toonaangevende Poolse makelaar in commerci\u00eble verzekeringen. Hierdoor is een platform ontstaan voor verdere expansie in Oost-Europa.&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>4 maart: In Belgi\u00eb kondigden twee onafhankelijke bedrijfsverzekeringsmakelaars, <strong>induver&nbsp;<\/strong> en <strong>clover,<\/strong> hun fusie aan met de steun van <strong>Hg capital<\/strong>.&nbsp;<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>De actiefste kopers in Europa<\/strong>&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Met de inbreng van particulier kapitaal ondersteunde makelaarsgroepen bleven de actiefste kopers.&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Howden<\/strong> breidde zijn voetafdruk in heel Europa uit en verwierf makelaars in verschillende landen, waaronder Frankrijk, Noorwegen, Estland, Belgi\u00eb, Ierland en hun thuisland VK.&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Het in Duitsland gevestigde <strong>MRH Trowe<\/strong> versterkte zijn buy-and-build-strategie met vier overnames in het land.&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>De <strong>PIB Group<\/strong> vergrootte zijn aanwezigheid in Spanje aanzienlijk door de overname van drie makelaars, terwijl het bedrijf ook in Itali\u00eb twee makelaars overnam. In Polen heeft PIB twee entiteiten samengevoegd. Opvallend was de overname van een Ierse makelaar door Campion Insurance, een dochteronderneming van PIB. Dit was de 20e Ierse makelaar die PIB aan zijn portfolio toevoegde.&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>De <strong>Summitas Group<\/strong>, met hoofdkantoor in Duitsland, breidt zijn activiteiten uit door de overname van vier bedrijven, allemaal gevestigd in Duitsland.&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>De <strong>Alpina Group<\/strong> is gevestigd in Nederland en heeft via zijn Belgische dochteronderneming <strong>Hillewaere Groep<\/strong> een overname gedaan samen met een andere makelaar en daarbij een consortium van vijf intermediairs gekocht.&nbsp;<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">MarshBerry levert toonaangevende gegevens en inzichten, perspectieven en marktomstandigheden om uw management op de hoogte te houden van de ontwikkelingen in de verzekeringsbranche.
