{"id":12370,"date":"2026-05-05T13:53:49","date_gmt":"2026-05-05T13:53:49","guid":{"rendered":"https:\/\/www.marshberry.com\/eu\/?p=12370"},"modified":"2026-05-05T13:53:51","modified_gmt":"2026-05-05T13:53:51","slug":"tentative-signs-of-a-spring-pickup-in-uk-insurance-distribution-ma","status":"publish","type":"post","link":"https:\/\/www.marshberry.com\/eu\/blog\/tentative-signs-of-a-spring-pickup-in-uk-insurance-distribution-ma\/","title":{"rendered":"Tentative Signs Of A Spring Pickup In UK Insurance Distribution M&amp;A"},"content":{"rendered":"\n<p>Mergers and acquisitions (M&amp;A) deal activity in 2026 has so far remained depressed, as it was throughout 2025, which is inevitably raising the question of\u00a0whether\u00a0this is a temporary response to broader pressures in the sector or a \u2018new normal\u2019 for a market\u00a0approaching the\u00a0later stages of\u00a0consolidation. On a\u00a0year-to-date\u00a0(YTD) basis\u00a0there have been only 29 announced deals in the UK. At the same point in 2025 \u2013 which was itself the slowest year for sector M&amp;A since 2017 \u2013 there had been 37. That said, April saw nine new deals announced, the highest monthly total of the year so far, including\u00a0a number of\u00a0relatively sizeable\u00a0and high-profile transactions.\u00a0<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-m-amp-a-market-update-nbsp\"><strong>M&amp;A Market Update<\/strong>&nbsp;<\/h2>\n\n\n\n<p>With nine new deals, including two involving targets employing more than 100 staff, April was the busiest month of 2026\u00a0so\u00a0far\u00a0and the most active for sector M&amp;A since last October. It also marked the beginning of a new tax year, and with it a modest increase\u00a0in the amount of\u00a0tax\u00a0incurred by\u00a0private sellers\u00a0on a sale of their business. The rate of Business Asset Disposal Relief\u00a0(BADR)\u00a0has increased from 14% to 18%. On the basis that BADR is available on proceeds up to \u00a31 million, the impact of this is up to \u00a340,000 for every eligible seller, so relatively modest in the context of most sector deals. It was\u00a0evidently not\u00a0enough to precipitate a rush of M&amp;A before the deadline, but of course the planned increase has been known about for 18 months and so any sellers driven by concern around this have had plenty of time to act. Contrast this with last April, which\u00a0was comfortably the most active month of 2025 for\u00a0M&amp;A with 17\u00a0deals. BADR\u00a0at that time increased from 10% to 14% \u2013 so the same amount, but in a change that had only been announced six months beforehand (in the October 2024 budget).<\/p>\n\n\n<div class=\"wp-block-image\">\n<figure class=\"aligncenter size-full\"><img decoding=\"async\" width=\"581\" height=\"383\" src=\"https:\/\/www.marshberry.com\/eu\/wp-content\/uploads\/sites\/2\/2026\/05\/Chart-1.jpg\" alt=\"\" class=\"wp-image-12372\" srcset=\"https:\/\/www.marshberry.com\/eu\/wp-content\/uploads\/sites\/2\/2026\/05\/Chart-1.jpg 581w, https:\/\/www.marshberry.com\/eu\/wp-content\/uploads\/sites\/2\/2026\/05\/Chart-1-300x198.jpg 300w\" sizes=\"(max-width: 581px) 100vw, 581px\" \/><\/figure>\n<\/div>\n\n\n<p>That monthly difference has\u00a0impacted\u00a0the\u00a0year-on-year\u00a0(YoY) comparables. Year-to-date\u00a0the deal count for 2026 is at 29,\u00a0compared to\u00a037 at the same point in 2025, a 22% reduction against what was\u00a0a very slow\u00a0year for deals. On a run rate\u00a0basis\u00a0it looks as though the market may again be looking at an annual deal count of below 100.\u00a0The nine deals in April\u00a02026\u00a0are\u00a0still\u00a0below the ten-year average of 9.6 deals per month.\u00a0<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-a-return-to-bigger-deals-nbsp\"><strong>A return to bigger deals?<\/strong>&nbsp;<\/h2>\n\n\n\n<p>Of course,&nbsp;deal volumes are not the whole story. The size of those deals matter. To understand the real level of sector consolidation, in terms of GWP and income,&nbsp;it is important&nbsp;to&nbsp;analyze&nbsp;the firms&nbsp;being&nbsp;acquired.&nbsp;MarshBerry tracks the reported headcount of every deal in the sector, which can be used as a proxy for income. Average sector deal sizes have been falling,&nbsp;and the aggregate headcount \u2018acquired\u2019 through M&amp;A has been steadily&nbsp;decreasing&nbsp;for the past five years.&nbsp;&nbsp;<\/p>\n\n\n\n<p>On this metric, 2026 is not shaping up to be as quiet as&nbsp;it&nbsp;might first appear, and the new deals announced in April are part of that story. Bridge&nbsp;Insurance Brokers, Eaton Gate and U Drive&nbsp;Cover&nbsp;(see below) were all sizeable transactions. The average headcount across&nbsp;announced&nbsp;deals in the month was 46.&nbsp;Year-to-date&nbsp;it is 53. The nine deals in April involved targets collectively employing more than 400 staff&nbsp;and&nbsp;YTD sector M&amp;A has involved targets with an aggregate headcount of more than 1,500.&nbsp;&nbsp;<\/p>\n\n\n\n<p>In 2025, ignoring refinancing deals (i.e.,\u00a0not real consolidation), fewer than 1,400\u00a0\u2018heads\u2019\u00a0were\u00a0consolidated. Granted, one large deal (the acquisition of\u00a0Prestige\u00a0by\u00a0AUB) accounts for a large chunk of the total in 2026, but the numbers point to 2026 seeing a greater level of overall\u00a0industry\u00a0consolidation than last year and demonstrate that\u00a0in spite of a slowdown in transaction volumes,\u00a0bigger deals are\u00a0still getting\u00a0done.<\/p>\n\n\n<div class=\"wp-block-image\">\n<figure class=\"aligncenter size-full\"><img decoding=\"async\" width=\"581\" height=\"380\" src=\"https:\/\/www.marshberry.com\/eu\/wp-content\/uploads\/sites\/2\/2026\/05\/Chart-2.jpg\" alt=\"\" class=\"wp-image-12377\" srcset=\"https:\/\/www.marshberry.com\/eu\/wp-content\/uploads\/sites\/2\/2026\/05\/Chart-2.jpg 581w, https:\/\/www.marshberry.com\/eu\/wp-content\/uploads\/sites\/2\/2026\/05\/Chart-2-300x196.jpg 300w\" sizes=\"(max-width: 581px) 100vw, 581px\" \/><\/figure>\n<\/div>\n\n\n<h2 class=\"wp-block-heading\" id=\"h-the-real-special-relationship-nbsp\"><strong>The real \u2018special relationship\u2019?<\/strong>&nbsp;<\/h2>\n\n\n\n<p>April\u2019s deals also&nbsp;demonstrated&nbsp;that overseas buyers&nbsp;remain&nbsp;highly relevant and active in the UK. Four of the nine new deals during the month involved a U.S.&nbsp;buyer. Nine of the 29 deals (31%) in 2026 YTD have involved an overseas buyer, with all but one of those buyers coming from the U.S. And with DOXA\u2019s acquisition of Eaton Gate, the market has a further new entrant.&nbsp;&nbsp;<\/p>\n\n\n\n<p>\u201cNew new\u201d buyers (i.e.,&nbsp;acquirers&nbsp;entering the market for the first time) to the UK are&nbsp;actually relatively&nbsp;rare.&nbsp;There have been fewer than&nbsp;25 over the past ten years. Most U.S.&nbsp;buyers in the UK have been here for many years (think Gallagher, Acrisure). DOXA has&nbsp;indicated&nbsp;that it wishes to do more M&amp;A here, and there are several other specialty platforms (MGA&nbsp;(managing general agent)&nbsp;and wholesale) from the U.S.&nbsp;actively exploring deals here. U.S.&nbsp;capital targeting UK specialty targets&nbsp;in particular is&nbsp;a trend that&nbsp;will&nbsp;likely&nbsp;continue&nbsp;in 2026.<\/p>\n\n\n<div class=\"wp-block-image\">\n<figure class=\"aligncenter size-full\"><img decoding=\"async\" width=\"579\" height=\"386\" src=\"https:\/\/www.marshberry.com\/eu\/wp-content\/uploads\/sites\/2\/2026\/05\/Chart-3.jpg\" alt=\"\" class=\"wp-image-12381\" srcset=\"https:\/\/www.marshberry.com\/eu\/wp-content\/uploads\/sites\/2\/2026\/05\/Chart-3.jpg 579w, https:\/\/www.marshberry.com\/eu\/wp-content\/uploads\/sites\/2\/2026\/05\/Chart-3-300x200.jpg 300w\" sizes=\"(max-width: 579px) 100vw, 579px\" \/><\/figure>\n<\/div>\n\n\n<h2 class=\"wp-block-heading\" id=\"h-explaining-the-drop-in-deal-count-nbsp-supply-and-demand-nbsp\"><strong>Explaining the drop in deal count&nbsp;\u2013 supply and demand<\/strong>&nbsp;<\/h2>\n\n\n\n<p>Many of the most active\u00a0broking\u00a0consolidators have become more cautious around M&amp;A in recent months. Integration of past acquisitions has become a higher priority, reflecting the higher valuations that the market is now demonstrably ascribing to the most cohesive and\u00a0operationally\u00a0disciplined groups (or,\u00a0conversely\u00a0the discount being applied to the more fractured and fragmented consolidators,\u00a0if you\u00a0wish\u00a0to look at it\u00a0the other\u00a0way\u00a0round).\u00a0Across several previously\u00a0very active\u00a0buyers there is an ongoing\u00a0shift\u00a0in focus\u00a0away from the high-volume approach to M&amp;A that has characterised the past few years.\u00a0MarshBerry\u00a0will be publishing a separate piece on this topic\u00a0very soon,\u00a0and covers it in further depth in\u00a0the\u00a0recent\u00a0<em>The State of the UK Insurance Distribution<\/em>\u00a0market report, available\u00a0<a href=\"https:\/\/www.marshberry.com\/eu\/insights\/industry-insights\/the-state-of-uk-insurance-distribution-uk-insurance-distribution-report-2026\/\" target=\"_blank\" rel=\"noreferrer noopener\">here<\/a>.\u00a0\u00a0<\/p>\n\n\n\n<p>This\u00a0slowdown\u00a0is a demand-side factor, but of course there is absolutely no shortage of demand for quality broking and MGA targets in the UK. Indeed, \u00a3 millions of new\u00a0private\u00a0equity\u00a0money\u00a0has entered the market over the past 18 months. The more pressing constraint is on the supply side. There just\u00a0aren\u2019t\u00a0enough available targets of meaningful scale and quality to go around. The report noted above sets out exactly how many.\u00a0\u00a0<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-notable-nbsp-transactions-april-nbsp-2026-nbsp\"><strong>Notable&nbsp;transactions (April&nbsp;2026):<\/strong>&nbsp;<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Arthur Gallagher<\/strong>\u00a0announced the acquisition of\u00a0<strong>Bridge Insurance Brokers<\/strong>\u00a0in Manchester. Bridge is particularly well known for its\u00a0expertise\u00a0in property and construction\u00a0and is one of the largest remaining independent brokers in the UK, employing more than 100 staff.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>In its largest acquisition to date, adding \u00a338m in GWP,\u00a0<strong>The Broker Investment Group<\/strong>\u00a0announced a deal to\u00a0acquire\u00a0a 75% stake in\u00a0<strong>U Drive Cover<\/strong>, a motor broker focused on more complex risks. The transaction is only the third deal in 2026 involving a personal lines business.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Continuing the recent trend of cross-border transactions involving specialty targets, MGU\u00a0<strong>Eaton Gate<\/strong>\u00a0announced it has been\u00a0acquired\u00a0by\u00a0<strong>DOXA<\/strong>, a PE-backed consolidator of MGA businesses that has been active in the U.S.\u00a0but is a new entrant to the UK. DOXA has\u00a0indicated\u00a0that Eaton Gate will be used as a platform for further acquisitions in the UK and Europe.\u00a0\u00a0<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-other-nbsp-transactions-april-nbsp-2026-nbsp\"><strong>Other&nbsp;transactions (April&nbsp;2026):<\/strong>&nbsp;<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>U.S.\u00a0consolidator<strong>\u00a0Acrisure<\/strong>\u00a0added to its UK business with\u00a0two new\u00a0acquisitions,*\u00a0announcing deals for net worth broker\u00a0<strong>Smith Greenfield Services<\/strong>, which also includes the\u00a0Confidas\u00a0trading stye\u00a0(used for\u00a0its MGA\u00a0business) and\u00a0<strong>Heathwoods\u00a0Insurance &amp; Financial Services<\/strong>, a broker focused on the property and construction sectors.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Clear Group continued in its consistent run of M&amp;A with two new commercial broking acquisitions, adding\u00a0<strong>Pangea\u00a0Insurance Brokers<\/strong>\u00a0in Hampshire and\u00a0<strong>Spence (Insurance Services)<\/strong>\u00a0in West Lothian.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Partners&amp;<\/strong>\u00a0announced the acquisition of Barnett &amp; Merriman (which trades as\u00a0<strong>Amica Insurance Brokers<\/strong>), a broker in Staffordshire.\u00a0<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Seventeen Group<\/strong>\u00a0announced a deal for\u00a0<strong>1<\/strong><strong><sup>st<\/sup><\/strong><strong>\u00a0Choice Insurance<\/strong>, a specialist fleet broker with a reported \u00a313m of GWP and based in Shropshire.\u00a0<\/li>\n<\/ul>\n","protected":false},"excerpt":{"rendered":"<p>Mergers and acquisitions (M&amp;A) deal activity in 2026 has so far remained depressed, as it was throughout 2025, which is inevitably raising the question of\u00a0whether\u00a0this is a temporary response to broader pressures in the sector or a \u2018new normal\u2019 for a market\u00a0approaching the\u00a0later stages of\u00a0consolidation.
