The\u00a0shift in the UK investment sector\u00a0from\u00a0privately owned, local\u00a0businesses\u00a0toward\u00a0institutionally backed regional and national groups, often supported by overseas\u00a0capital,\u00a0is well underway and\u00a0apparently unstoppable.\u00a0This trend has been enforced by\u00a0both\u00a0the superior growth achieved by\u00a0firms\u00a0with\u00a0access to capital and\u00a0the\u00a0attractive valuations<\/a> realized for their shareholders.\u00a0<\/p>\n\n\n\n

For\u00a0business owners thinking about succession strategy<\/a> or exit timing, having a lens on\u00a0this\u00a0long-term transformation is vitally important.\u202f\u00a0<\/p>\n\n\n\n

Record deal values \u202f<\/strong> <\/h2>\n\n\n\n

The latest data\u00a0reveals\u00a0a number of\u00a0record deals\u00a0driven by large and international transactions<\/a>.\u00a0In 2025, the\u00a0total value of deals over \u00a35M\u00a0reached an\u00a0all-time high\u00a0of\u00a0\u00a319.7B, an increase of 116% over the prior year.\u00a0The\u00a0value of PE deals, including overseas funds,\u00a0hit \u00a316.8B (+113%).\u00a0The\u00a0total value of deals by overseas parties, many of which were PE-backed,\u00a0increased 139% to\u00a0\u00a317.9B,\u00a0and the average deal value was \u00a3303M\u00a0\u2014\u00a0up\u00a0238%!\u00a0<\/p>\n\n\n\n

Among service providers,\u00a0<\/strong>notwithstanding\u00a0bolt-on\/consolidation deals, the overriding theme\u00a0is\u00a0the\u00a0broadening\u00a0of propositions by\u00a0acquiring\u00a0complementary capabilities, be it technology-based models\u00a0adding services or service providers buying complementary skills to create more\u00a0comprehensive solutions for clients.\u00a0Among pension specialists,\u00a0synergistic\u00a0merger and acquisition (M&A)<\/a>\u00a0opportunities\u00a0are\u00a0arising\u00a0for larger players to strengthen their\u00a0positions and grow into new\u00a0market\u00a0segments.\u00a0<\/strong>And whilst\u00a0long-only asset management\u00a0has been experiencing its usual flow of deals,\u00a0including\u00a0some of substantial size such as the public offer for M&G, there\u00a0are also\u00a0minority positions\u00a0being\u00a0taken\u00a0in specialized alternative managers\u00a0by larger international\u00a0strategics.\u00a0<\/p>\n\n\n\n

Rising influence of overseas and North American private equity-backed buyers\u202f<\/strong> <\/h2>\n\n\n\n

The opportunities in the UK wealth management sector have\u00a0inspired an inflow of investments from international funds and new private equity\u00a0(PE)-funded consolidation vehicles created during the year. In fact, PE funds\u2019 influence is not only\u00a0restricted to wealth management<\/a>. They are now also playing a more prominent role in employee\u00a0benefits and pension consulting, as well as among service providers to advisors.\u00a0But it would be wrong to conclude that PE-funded initiatives are the only force for change. The\u00a0sector is also adapting to pressures from the regulator and rising costs while the developments\u00a0in technology pervade the entire sector, all of which\u00a0is\u00a0prompting\u00a0owners to\u00a0reconsider\u00a0current\u00a0strategies\u00a0for growth and profitability.\u00a0<\/p>\n\n\n\n

With growing scale and market position, more companies across the sector are becoming relevant to international \u2014 often North American \u2014 strategic acquirers and PE funds, including consolidators in wealth management, multi-family offices, and specialist managers and product providers. <\/p>\n\n\n\n

Who\u2019s selling?<\/strong> <\/h2>\n\n\n\n

Not surprisingly, given the overall trend away from locally managed firms, owner-managed businesses currently stand as the UK\u2019s largest seller category, consistent with the age demographics of owners and active interest from consolidators in the sector.<\/p>\n\n\n

The net result of buyers\u2019 and sellers\u2019 activities is the continuing transition of privately-held businesses becoming incorporated into larger organisations. These organisations are typically beholden to shareholders that subscribe to growth models based on \u201cbuy & build\u201d strategies for creating synergies and economies of scale. In addition, the growing presence of institutional and corporate ownership is impacting the availability of opportunities to acquire privately held businesses \u201coff market,\u201d since the market has become more crowded with acquirers and vendors presenting multiple options for value creation and realisations. <\/p>\n\n\n\n

Consolidation in wealth management has much further to go<\/strong> <\/h2>\n\n\n\n

The UK wealth management market includes over 6,000 entities involved in financial planning and\/or portfolio discretionary investment management services for private clients. MarshBerry recently analyzed the larger wealth management businesses in the country, totalling some 770 entities employing 10 staff or more, using data from their most recent report and accounts filed at Companies House. The analysis reveals: <\/p>\n\n\n\n

    \n
  • 91% of the businesses are still under private ownership (a slight drop from 92% last year). <\/li>\n<\/ul>\n\n\n\n
      \n
    • 84 businesses (11% of the population) employed 50 or more staff at the last reporting date. <\/li>\n<\/ul>\n\n\n\n
        \n
      • 43 groups were backed by PE funds. A few more entities raised equity from PE funds during the year but have not yet filed their accounts for the year and, therefore, were not classified as such in our analysis. <\/li>\n<\/ul>\n\n\n\n
          \n
        • There has been a 22% growth in headcount among PE-backed businesses over the reporting period. <\/li>\n<\/ul>\n\n\n\n

          In addition, replete with new capital from PE funds, established consolidators in wealth management (like Shackleton and Wren Sterling) continue to complete acquisitions, and new consolidators have been created with the help of primary PE investments. <\/p>\n\n\n\n
