With ongoing challenges around attracting and retaining skilled professionals, the focus is less on reducing headcount and more on getting the most from existing teams. This often involves prioritizing the most profitable clients, even if that means letting go of the least profitable ones.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-platform-vs-average-firms-what-drives-insurance-broker-valuations\">Platform vs Average Firms: What Drives Insurance Broker Valuations<\/h2>\n\n\n\n<p><a href=\"https:\/\/www.marshberry.com\/eu\/solutions\/corporate-finance-advisory\/mergers-acquisitions\/\">Merger and acquisition (M&amp;A) strategies<\/a> for insurance brokers are evolving as well. For more than a decade, deal pricing (typically expressed as a multiple of <a href=\"https:\/\/www.marshberry.com\/resource\/how-to-think-about-value\/\">EBITDA<\/a>) has been steadily increasing across European markets. Strategic fit has become a top priority for consolidators.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-ebitda-multiples-and-integration-the-big-stuff-that-matters\">EBITDA Multiples and Integration: The Big Stuff That Matters<\/h2>\n\n\n\n<p>Increasingly, <a href=\"https:\/\/www.marshberry.com\/eu\/solutions\/corporate-finance-advisory\/mergers-acquisitions\/buy\/\">insurance M&amp;A buyers<\/a> want to know that the leadership of the target insurance brokerage business is committed to \u201cstaying onboard\u201d and willing to work collaboratively within a larger consolidated platform organization. A well-run process should deliver the right headline numbers. Management meetings with potential buyers, before offers are submitted, should focus on the commercial benefits of the transaction. Detailed negotiations between heads of agreement should seek to address the needs of both parties. The less risk the buyer perceives in a transaction, the greater the price the buyer will be willing to pay. So, seeing the deal from the buyer\u2019s perspective can actually increase the insurance broker&#8217;s valuation.&nbsp;&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-insurance-broker-earn-out-negotiations-the-small-stuff\">Insurance Broker Earn-Out Negotiations: The Small Stuff<\/h2>\n\n\n\n<p>The normalisation of EBITDA earnings is an important part of an insurance broker transaction and something the adviser will quantify and provide support for. But insisting that a \u201c\u00a3500 sponsorship of the local youth rugby club should be added back into the EBITDA\u201d will suggest to the buyer that reaching compromises during the earn-out period will be difficult and could strain the relationship.<\/p>\n\n\n\n<p>Nitpicking over trivial items as parties move to completion\u2014such as the premises dilapidations, a perennial last-minute haggle in an M&amp;A deal but often representing perhaps 0.1% of the deal value\u2014can damage the trust built up earlier in the process that is so necessary for a successful long-term partnership.<\/p>\n\n\n\n<p>With this growing emphasis on strategic alignment and team dynamics, sellers must work to build constructive, trust-based relationships with potential acquirers to maximize long-term value for both parties, who should operate as partners.
